These Referral Partner Terms govern participation in the WorkflowMind Referral Partner Network.
WorkflowMind is a trading name of Brainstorm Club Ltd, registered in England and Wales, with its registered office at 148 The Rose Bowl, Portland Crescent, Leeds, LS1 3HB.
In these Terms, “WorkflowMind”, “we”, “us” and “our” mean Brainstorm Club Ltd trading as WorkflowMind.
“Partner”, “you” and “your” mean the individual or organisation joining the WorkflowMind Referral Partner Network.
By joining the Referral Partner Network or submitting a referral after accepting these Terms, you agree to these Terms.
1. The Referral Partner Network
1.1 The Referral Partner Network allows eligible Partners to introduce prospective business customers to WorkflowMind.
1.2 Participation is non-exclusive. You are under no obligation to make any minimum number of referrals and WorkflowMind does not guarantee any minimum level of reward.
1.3 Joining the Referral Partner Network does not create an employment, agency, partnership, joint venture or franchise relationship between you and WorkflowMind.
1.4 You have no authority to enter into agreements on WorkflowMind’s behalf, make commitments for WorkflowMind, negotiate WorkflowMind’s prices or hold yourself out as an employee, agent or authorised representative of WorkflowMind.
2. Making a Referral
2.1 A referral should normally be made through a genuine warm introduction between the prospective customer and WorkflowMind.
2.2 Before sharing an individual’s contact information with WorkflowMind, you must ensure that you are lawfully entitled to do so and that the individual is aware that you are making the introduction.
2.3 You must not submit purchased lists, scraped contact information, bulk cold leads or personal information obtained unlawfully or without an appropriate basis for sharing it.
2.4 We may ask you for reasonable information about the circumstances of an introduction in order to confirm eligibility.
2.5 Making an introduction does not require you to advise the prospective customer on the suitability of WorkflowMind or diagnose their business.
3. Eligible Referrals
3.1 A referral will normally be eligible where:
(a) you make an identifiable introduction to a genuine prospective business customer;
(b) the prospective customer is not already a WorkflowMind customer;
(c) the prospective customer has not been in a substantive, documented sales conversation with WorkflowMind during the 90 days immediately before your referral;
(d) the referral has been properly recorded by WorkflowMind;
(e) the prospective customer purchases its first qualifying WorkflowMind Operational Diagnostic within six months of the recorded referral; and
(f) the other requirements in these Terms are satisfied.
3.2 An enquiry, anonymous website visit, newsletter subscription or other passive interaction with WorkflowMind will not by itself make a referral ineligible. We are concerned primarily with avoiding duplicate attribution where WorkflowMind is already actively pursuing the opportunity.
3.3 Where two or more Partners claim the same organisation, the first eligible recorded introduction will normally receive attribution.
3.4 WorkflowMind may consider the actual circumstances and resolve competing attribution claims reasonably and in good faith.
3.5 Referral eligibility and attribution decisions made by WorkflowMind acting reasonably are final.
4. Referral Attribution Period
4.1 An eligible referral remains attributed to the Partner for six months beginning on the date WorkflowMind records the introduction.
4.2 If the prospective customer does not purchase a qualifying Operational Diagnostic within that period, no referral reward becomes due unless WorkflowMind agrees otherwise in writing.
5. When a Referral Reward Is Earned
5.1 An eligible Referral Partner earns a referral reward when:
(a) the referred customer enters into an agreement to purchase its first qualifying WorkflowMind Operational Diagnostic;
(b) WorkflowMind receives the required payment from the customer; and
(c) delivery of the Diagnostic commences.
5.2 Unless WorkflowMind agrees otherwise in writing, the standard referral reward is £750.
5.3 The standard reward applies once in respect of the referred organisation’s first qualifying Operational Diagnostic.
5.4 Further Diagnostics, software subscriptions, renewals, expansions or other services purchased by that organisation do not automatically generate additional referral rewards.
6. Reward Options
6.1 When a referral reward is earned, the Partner may choose one of the following options:
(a) receive the referral reward;
(b) direct WorkflowMind to make a donation of £750 to an eligible UK registered charity nominated by the Partner; or
(c) waive the referral reward.
6.2 The Partner must make one choice for each reward.
6.3 WorkflowMind does not currently offer a split between personal payment and charitable donation for a single reward unless agreed separately in writing.
7. Payment to the Partner
7.1 Where the Partner chooses to receive the referral reward, WorkflowMind will request the information reasonably required to make and record the payment.
7.2 The £750 referral reward is exclusive of VAT where VAT is properly chargeable.
7.3 Where VAT is applicable, the Partner must provide a valid VAT invoice or such other documentation as WorkflowMind reasonably requires.
7.4 The Partner is responsible for their own tax, National Insurance, accounting, reporting and other liabilities arising from a referral reward.
7.5 WorkflowMind does not provide tax advice to Referral Partners.
7.6 Subject to receipt of any information or invoice reasonably required, WorkflowMind will aim to make payment within 14 days after the Partner has selected payment and satisfied the payment requirements.
8. Charity Option
8.1 Where the Partner selects the charity option, WorkflowMind will make a £750 donation directly to an eligible UK registered charity nominated by the Partner.
8.2 The donation is made by WorkflowMind in its own name at the Partner’s direction. The Partner does not receive the £750.
8.3 The nominated charity must be capable of being verified through an appropriate official UK charity register or otherwise verified to WorkflowMind’s reasonable satisfaction.
8.4 WorkflowMind may decline a nominated charity where:
(a) the organisation cannot reasonably be verified;
(b) WorkflowMind cannot reasonably make the donation;
(c) making the donation could breach applicable law or regulation;
(d) the donation could create or contribute to a conflict of interest, bribery or improper influence concern;
(e) the nominated organisation does not meet WorkflowMind’s reasonable ethical or compliance requirements.
8.5 Where a nomination is declined, the Partner may nominate another eligible charity or choose another available reward option.
8.6 WorkflowMind will aim to make the donation within 30 days of verifying the nominated charity.
8.7 WorkflowMind will confirm to the Partner when the donation has been made.
8.8 The Partner must not represent that they personally made the donation and must not attempt to claim Gift Aid or any tax relief relating to a donation made by WorkflowMind.
8.9 WorkflowMind does not give the Partner tax advice about choosing the charity option.
9. Professional, Employer and Client Obligations
9.1 Partners are responsible for establishing whether they are permitted to participate in referral arrangements and receive or direct referral rewards.
9.2 This includes checking any relevant:
(a) professional rules;
(b) employer policies;
(c) contractual obligations;
(d) client terms;
(e) fiduciary duties;
(f) regulatory requirements; and
(g) conflict-of-interest requirements.
9.3 Partners are responsible for making any disclosure to the referred customer, employer, client, regulator or other person that is required by law, regulation, professional rules, contract or applicable policy.
9.4 A Partner who cannot accept a referral reward may choose to waive the reward.
9.5 The availability of the charity option does not mean that directing a reward to charity will necessarily satisfy any professional, regulatory, contractual or employer restriction. Partners remain responsible for checking the requirements that apply to them.
10. Anti-Bribery and Conflicts of Interest
10.1 The Referral Partner Network is intended to reward genuine introductions and must not be used to create improper influence over purchasing, procurement or other business decisions.
10.2 You must not offer, promise, request or accept a referral reward in circumstances where doing so would constitute bribery, corruption or another unlawful inducement.
10.3 You must not claim a referral reward secretly where you are an employee, officer, procurement adviser or other person exercising material influence over the referred organisation’s decision to purchase WorkflowMind and acceptance of the reward would create an actual or apparent conflict of interest.
10.4 You must disclose relevant conflicts of interest where required.
10.5 You must not offer any part of your referral reward to an employee or representative of the referred organisation in order to influence a purchasing decision.
10.6 WorkflowMind may refuse or cancel a referral reward where it reasonably believes that paying or making the reward could breach law, regulation, anti-bribery requirements or create an improper conflict of interest.
11. Accuracy and Conduct
11.1 You must not make false, misleading or unauthorised statements about WorkflowMind.
11.2 You must not guarantee any outcome from a WorkflowMind Diagnostic or the WorkflowMind platform.
11.3 You may use introduction templates supplied by WorkflowMind, but you remain responsible for the context in which you send them.
11.4 You must not:
(a) impersonate WorkflowMind;
(b) create websites, advertising or social accounts that could reasonably appear to be operated by WorkflowMind without written permission;
(c) purchase advertising against WorkflowMind’s name or trademarks without written permission;
(d) send spam or unlawful direct marketing on WorkflowMind’s behalf; or
(e) use WorkflowMind branding in a misleading way.
12. Data Protection
12.1 Each party is responsible for complying with the data protection legislation that applies to its own processing of personal information.
12.2 You must only provide WorkflowMind with personal information that you are lawfully entitled to share.
12.3 You should provide only the information reasonably necessary to make the introduction.
12.4 You should ensure that the person being introduced understands that their information will be shared with WorkflowMind.
12.5 WorkflowMind will process Referral Partner information and referred contact information in accordance with its Privacy Policy.
12.6 Referral Partners must not use information received through the programme for unrelated marketing or other unauthorised purposes.
13. Confidentiality
13.1 WorkflowMind may provide limited updates about whether a referral has progressed.
13.2 A referral reward does not entitle the Partner to information about the referred customer’s business, Diagnostic, commercial arrangements or confidential information.
13.3 WorkflowMind will not disclose confidential customer information merely because the customer was introduced by a Referral Partner.
13.4 If either party receives confidential information through the referral relationship, it must keep that information confidential and use it only for the purpose for which it was supplied unless disclosure is required by law.
14. No Guarantee of Acceptance or Sale
14.1 WorkflowMind is under no obligation to:
(a) accept a prospective customer;
(b) offer a Diagnostic;
(c) enter into an agreement with a referred organisation; or
(d) pursue an introduction.
14.2 WorkflowMind retains full discretion over its sales, pricing, qualification and delivery decisions.
15. Programme Abuse
15.1 WorkflowMind may refuse a reward or terminate a Partner’s participation where there is evidence of:
(a) fraud;
(b) self-referral intended primarily to obtain a reward;
(c) fake or fabricated introductions;
(d) spam;
(e) misleading representations;
(f) duplicate claims made dishonestly;
(g) unlawful data sharing;
(h) bribery or conflicts of interest;
(i) abuse of WorkflowMind branding; or
(j) other conduct that could reasonably harm WorkflowMind, its customers or the programme.
16. Ending Participation
16.1 Either you or WorkflowMind may end your participation in the Referral Partner Network at any time.
16.2 You may do this by emailing devon@workflowmind.com.
16.3 Ending participation does not remove a referral reward that had already been validly earned before termination, except where these Terms otherwise permit WorkflowMind to withhold or cancel it.
16.4 Referrals that have been introduced but have not yet earned a reward when participation ends will be handled reasonably by WorkflowMind taking account of the circumstances and these Terms.
17. Changes to the Programme
17.1 WorkflowMind may change the Referral Partner Network, reward amount or these Terms from time to time.
17.2 Changes will not retrospectively reduce a reward that has already been earned.
17.3 Where a material change affects existing Partners, WorkflowMind will take reasonable steps to notify them.
17.4 The version of these Terms in force when a referral is made will normally govern that referral unless otherwise stated.
18. Liability
18.1 Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded or limited.
18.2 Subject to clause 18.1, WorkflowMind will not be liable to a Referral Partner for indirect or consequential loss, loss of profit, loss of opportunity or loss arising from a prospective customer deciding not to purchase WorkflowMind.
18.3 WorkflowMind’s total liability to a Partner arising directly from the Referral Partner Network will not exceed the total referral rewards paid or payable to that Partner during the 12 months preceding the event giving rise to the claim, except where such limitation would be unlawful.
19. General
19.1 These Terms constitute the agreement between WorkflowMind and the Partner in relation to participation in the Referral Partner Network.
19.2 If any provision is found to be unenforceable, the remaining provisions continue in effect.
19.3 A delay in enforcing a right does not waive that right.
19.4 You may not transfer your rights under these Terms without WorkflowMind’s written consent.
19.5 WorkflowMind may transfer these Terms to a successor in connection with a corporate restructuring, merger, sale or transfer of its business.
20. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction over disputes arising out of or relating to these Terms.
